How to Register a Company in New Zealand | EntityFlo
Registering a company in New Zealand costs NZD $115 and takes under an hour online. You'll get a New Zealand Business Number (NZBN) the same day. At least one director must have a New Zealand or Australian address. Here's exactly how it works.
The Regulator: New Zealand Companies Office
New Zealand company registration is administered by the Companies Office (part of the Ministry of Business, Innovation and Employment — MBIE) at companies.govt.nz.
The Companies Office maintains the New Zealand Companies Register — a publicly searchable database of all NZ registered companies.
All companies are registered under the Companies Act 1993 .
New Zealand's most common business structure is the Limited Liability Company . Here's the landscape:
Type Description Best For Limited Company (Ltd) Standard private company with limited liability Most businesses Unlimited Company No share capital limit, unlimited liability Specific professional structures Overseas Company Foreign company registered to operate in NZ Foreign businesses with NZ operations Co operative Member owned, profits distributed to members Agricultural, consumer co ops
For the vast majority of businesses, a Limited Company is the right choice.
1. Company Name Check availability on the Companies Office name search Must not be identical or almost identical to an existing registered name Must not be offensive or suggest a misleading purpose Certain words require consent (e.g., "Bank," "Insurance," "Royal") Name must end in "Limited" or "Ltd" (unless exempt)
2. Registered Office Must be a physical address in New Zealand (not a PO box) This is where official correspondence is delivered Can be your accountant's or a registered agent's address
3. Address for Service The address where legal documents can be served Often the same as the registered office, but can be different Must be in New Zealand
4. Director Details New Zealand has a specific residency requirement for directors:
At least one director must: Live in New Zealand, OR Live in Australia and be a director of an Australian registered company
This is a hard requirement. If no directors meet this criteria, you'll need to appoint a nominee director (a local professional who acts as director for compliance purposes).
For each director, you'll need: Full legal name Date of birth Residential address Consent to act as director
5. Shareholder Details Full name and address of each shareholder Number and class of shares For overseas shareholders: country of residence
6. Share Structure New Zealand companies can issue shares with no par value (NZ abolished par value shares). You just determine the number of shares and who gets what.
Simple structures: issue 100 ordinary shares and allocate them proportionally to shareholders.
7. Constitution (Optional) Unlike Australia, a New Zealand company does not need a constitution to incorporate. The Companies Act 1993 provides default rules that apply automatically. If you want to modify those defaults — custom dividend rights, director appointment rules, etc. — you'll need a constitution.
Most small companies don't bother with a custom constitution. Use the Act's defaults unless you have a specific reason not to.
Step 1: Create a RealMe or Companies Office Account Go to companies.govt.nz and log in with a RealMe account or Companies Office credentials. If you don't have one, create one — it takes 5 minutes.
Step 2: Start a Company Registration Select "Register a Company" from the dashboard.
Step 3: Search and Reserve Your Name Enter your preferred company name. The system checks availability in real time. If available, the name is reserved for 20 working days while you complete registration.
Step 4: Enter Company Details Registered office address Address for service Whether you're adopting the Act's default rules or a custom constitution
Step 5: Add Directors Enter each director's details. Directors will receive an email to confirm their consent to act. All directors must confirm consent before the registration can be completed. Factor this into your timeline — if a director is slow to respond, it delays everything.
Step 6: Add Shareholders Enter shareholder names, addresses, and share allocations.
Step 7: Review and Pay Double check everything. Pay the NZD $115 registration fee by credit card.
Step 8: Receive Your NZBN Once submitted, most applications are processed the same business day. You'll receive your New Zealand Business Number (NZBN) — a unique 13 digit identifier — and a Certificate of Incorporation.
Annual Return Every year, you must file an Annual Return with the Companies Office. This confirms that your company details are still correct.
Cost: NZD $46 (online) or $60 (paper) — confirm current rates at companies.govt.nz Due date: Within 20 working days after the anniversary of registration
The annual return is not the same as a tax return. It's an administrative confirmation to the Companies Office that your company still exists and your details are current.
Notify Changes Within 20 Working Days If any of the following change, you must update the Companies Register within 20 working days: Director details (appointment, resignation, address change) Shareholder details Registered office address Address for service Constitution (if you adopt or amend one)
Financial Reporting Most small NZ companies are exempt from filing financial statements with the Companies Office (unless they're a large company, listed, or required to file for other reasons). However, you still need to prepare financial statements for internal purposes and for your tax returns.
IRD Tax Registration Company registration with the Companies Office and tax registration with the Inland Revenue Department (IRD) are separate processes.
After registering your company: Apply for an IRD number for the company Register for GST if turnover will exceed NZD $60,000 per year Register for PAYE if you'll be employing people
Beneficial Ownership New Zealand is moving toward mandatory beneficial ownership disclosure. Keep your shareholder register accurate and up to date — this is both a legal requirement and good governance practice.
If you're already operating in Australia and expanding into New Zealand (or vice versa), here's what changes:
Australia New Zealand Regulator ASIC Companies Office Registration Fee AUD $538 NZD $115 Company ID Number ACN (9 digits) NZBN (13 digits) Director Residency At least one AU resident At least one NZ or AU resident Annual Fee $310 $46 Constitution Required? No (replaceable rules apply) No (Act defaults apply) GST Threshold AUD $75,000 NZD $60,000
NZ is significantly cheaper and has a more permissive director residency rule (accepting Australian residents). For AU based businesses expanding to NZ, this makes the director requirement easy to satisfy.
EntityFlo has a native integration with the NZ Companies Office.
